Agreement to Terms
By accessing or using the ThinkLana platform and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services. These Terms constitute a legally binding agreement between you and ThinkLana, and they govern your use of our platform and services.
Please read these Terms carefully before using our services. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not use our services.
Description of Services
ThinkLana provides an enterprise AI-powered legal operations platform designed to assist legal professionals with probate and estate administration. Our services include document automation, case management, AI-powered research and guidance, and related tools and features.
Account Registration and Security
To use our services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We recommend using strong, unique passwords and enabling multi-factor authentication when available.
You are responsible for all activities that occur under your account, whether authorized by you or not. This includes ensuring that anyone who accesses your account does so in accordance with these Terms and applicable laws. If you become aware of any unauthorized access to your account, you must notify us immediately and take steps to secure your account, such as changing your password.
Acceptable Use
You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable laws or regulations
- Infringe upon the rights of others
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the operation of our services
- Use our services to provide legal advice without proper authorization
Intellectual Property
The ThinkLana platform, including its software, design, content, and trademarks, is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use our services in accordance with these Terms. You retain ownership of data and content you upload to the platform.
User Content and Data
You retain all rights to content and data you upload to the platform. By uploading content, you grant ThinkLana a license to use, store, and process such content solely for the purpose of providing our services. You represent that you have the right to upload all content you provide.
Payment Terms
Subscription fees and payment terms are specified in your service agreement. Fees are billed in advance and are non-refundable except as required by law or as specified in your agreement. We reserve the right to modify pricing with appropriate notice.
Service Availability
We strive to maintain high availability of our services but do not guarantee uninterrupted access. We may perform scheduled maintenance and may experience unplanned outages. Enterprise clients receive uptime SLA commitments as specified in their service agreements. We work diligently to minimize downtime and provide advance notice of scheduled maintenance whenever possible.
While we make every effort to ensure continuous service availability, we cannot guarantee that our services will be available at all times or that they will be free from errors, interruptions, or security vulnerabilities. We are not liable for any damages or losses resulting from service unavailability, interruptions, or errors, except as may be specified in your service agreement for enterprise clients.
Limitation of Liability
To the maximum extent permitted by law, ThinkLana shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.
Indemnification
You agree to indemnify and hold ThinkLana harmless from any claims, damages, losses, liabilities, and expenses arising from your use of our services, violation of these Terms, or infringement of any rights of another party.
Termination
We may suspend or terminate your access to our services at any time for violation of these Terms or for any other reason. Upon termination, your right to use the services will immediately cease, and we may delete your account and data in accordance with our data retention policies.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction specified in your service agreement, without regard to its conflict of law provisions.
Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated to you, and continued use of our services after such changes constitutes acceptance of the modified Terms.
